Purpose of the Audit and Risk Committee

The Audit and Risk Committee’s purpose is to support the College Trustees/Executive Board and the Chief Executive Officer by reviewing the comprehensiveness and reliability of assurances on the adequacy of the College’s risk management processes, internal control environment, governance arrangements, and the integrity of the College’s Annual Report and Financial Statements.

Overview of role

The Chair of the Audit and Risk Committee, who will also be a College Trustee, will work closely with College’s President, Registrar, CEO and Director of Finance, Operations and ICT Services to guide the Committee in achieving its purpose.

The Chair of this Committee is a member of College’s Executive Board.

This role is non-remunerated. Reasonable expenses will be reimbursed.

Trustee responsibilities

Trustees are responsible for the overall strategic direction, leadership, supervision and control of the activities and affairs of the College. They must use all reasonable endeavours to ensure that they:

• Exercise proper control over the College’s activities, assets, staff and consultants.
• Ensure that the College acts in compliance with all legal requirements.
• Set or approve appropriate strategies, policies, proposals and budgets, and monitor theCollege’s performance against them.
• Put in place an appropriate framework of delegation, and appropriate systems of internalcontrol.
• Conduct the affairs of the College with honesty and integrity.
• Carry out regular risk reviews and take appropriate steps to manage or otherwise respond tosignificant risks to the College and its affairs.
• The affairs and activities of the College are sufficiently able to stand the test of scrutiny bythe public, the media, charity regulators, Fellows and Members, other stakeholders,Parliaments and the courts.
• Comply with all applicable statutes, rules and regulations and the Trustee Code of Conduct.

Time Commitment

The Chair will be required to attend four Audit & Risk Committee meetings, six Executive Board meetings and six Council meetings each year, an annual time commitment of roughly 40 hours. The Chair will be expected to work closely with the Chair of College’s Finance & Investment Committee.

Additional ad hoc meetings are also likely to be required.

While some in person attendance will be required, meetings are generally hybrid.

The Chair of the Committee will be appointed for a term of three years with the option of serving a maximum of two terms by mutual agreement with the Chair of the Trustees

Person Profile

College is looking for a Chair who has:

• Significant professional experience overseeing one or more of statutory audit, internal audit,or organisational risk management of complex, customer focused organisations.
• Knowledge of the charitable sector.
• Experience of a Professional Body and/or at least one of Membership, Education,Examinations or the Health sector would be advantageous.
• A relevant professional qualification and membership of a professional body.
• Strong commercial acumen.
• The gravitas and personality to contribute effectively as a College Trustee and member of College’s Executive Board.

Treasurer Wanted

Ricefield Arts & Cultural Centre is a registered charity and social enterprise for the exploration and promotion of Chinese culture and has an excellent reputation for delivering original and inspiring creative experiences, cultural events and workshops to community groups, public institutions and arts audiences around Scotland.

We are currently looking to appoint a Treasurer to join our small Board. The Treasurer will be responsible for managing all financial matters on behalf of our organisation and will be responsible for ensuring that the organisation has robust financial processes to ensure it meets its legal and constitutional requirements. It will also be the responsibility of the Treasurer to report the financial position at the board meetings. While we encourage and welcome applicants of all backgrounds, we are keen to hear from candidates that have experience of charity financial management or are chartered in a suitable accountancy field.

All Trustees are required to attend monthly board meetings, either at our office located in the heart of Glasgow city centre or via Zoom. In addition, we ask Trustees to attend our annual board development day, important meetings with stakeholders and some events and projects, where possible. As Ricefield Arts is a social enterprise, the role also involves serving as our Board of Directors.

Please note that this is a voluntary role, however, travel expenses incurred in carrying out board duties will be fully reimbursed.

Hamilton Citizens Advice Bureau (CAB) was formed over 50 years ago to provide a holistic advice service to the residents of Hamilton. As a member of the Scottish Association of Citizens Advice Bureaux network, Hamilton CAB aims to provide free, independent, impartial, and confidential advice and information to ensure that people understand their rights and responsibilities and can express their needs effectively. We campaign and influence to tackle the root cause of the problems people face and work to strengthen their rights.

Hamilton CAB currently operates from two offices in Hamilton and are supported by 18 members of staff and 31 volunteers including board members. The Bureau supports individuals with a wide range of general enquiries whilst project staff provide specialist support on topics including benefits, debt, utilities, and money matters.

The role:

We are seeking a committed and dynamic individual to serve as the Chair of our organisation.

As Chair, you will play a vital role by providing strategic leadership to the board, ensuring it fulfils its responsibilities for the governance of the organisation. You will also provide line management, support and direction to the Chief Officer, helping them to achieve the organisation’s aims and objectives; and ensures the smooth running of Hamilton CAB.

We are looking for an individual who has experience of leadership and governance. You will have a passion for the voluntary sector, strong leadership skills and an ability to drive forward positive change.

Although, not financially remunerated, the role is high profile and respected within the community and will offer a great challenge, learning and networking opportunity for the right person.

There are an average of 6 Board meetings per year to commit to as well as preparation time and regular collaboration /communications with the team and stakeholders.

Held in our Hearts is a small but mighty and growing Scottish charity providing baby loss counselling and peer support to families. We have over 40 years’ experience of offering compassionate bereavement care to individuals and families and working closely with a range of partners including the NHS, Scottish Government and the third sector.

Our values of empathy, connection and love underpin all that we do and guide us as Board members, charity colleagues and volunteers as we continue to grow and expand our services and reach. With an innovative approach to early intervention, our fabulous Chief Executive and her team now provide support through our Hospital to Home service in four NHS Boards across Scotland.

Our charity vision is to ensure a minimum framework of bereavement care in Scotland, and we are therefore seeking a committed and experienced charity growth and fundraising colleague to join our Board of Trustees.

Role: Trustee/Board Director.

• Key Responsibilities:

- As a volunteer, support the Chair to provide strategic direction and oversight to the charity.

- Collectively ensure the charity operates within its charitable governance and accountabilities.

- As a Board member, regularly monitor financial performance and work collectively to ensure future financial health.

- Support the development of fundraising initiatives and community engagement, including corporate partnerships and events.
